Terms of use
These terms of use, together with the documents referred to in them (the "Terms"), tell you the terms on which you may make use of our website www.eritax.co.uk and any related public-facing pages, content and non-subscribed features made available through it (collectively, the "site").
Please read these Terms carefully before you start to use the site, as they will apply to your use of it. We recommend that you print a copy for future reference.
By using the site, you confirm that you have read, understood and accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use the site.
These Terms govern access to and use of the public ERItax website and any non-subscribed features made available through it. If you subscribe to ERItax's hosted services, create an account for paid platform access, use any trial access made available by us, or otherwise enter into a customer relationship with us for platform or API access, your use of those services may also be governed by a separate subscription agreement, customer agreement, trial terms, order form, proposal, or other contractual documents. In the event of any conflict, those more specific contractual documents will prevail to the extent of that conflict.

These Terms should be read together with our Privacy Policy and separate Cookie Policy. Accounts, trials and membership
Certain parts of the site or related services may require you to create an account, whether for paid access, evaluation access, a free trial, restricted areas, or other features we may make available from time to time. If you create an account, you are responsible for maintaining the confidentiality and security of your login details and for all activities that occur under your account.
You must provide accurate, current and complete information when creating or using an account and must promptly update that information if it changes. Providing false, misleading or incomplete information may result in the suspension or termination of your account.
You must notify us immediately of any unauthorised use of your account, password compromise, or other breach of security. We may, but are not obliged to, monitor, review, suspend, disable or remove accounts where we reasonably consider that these Terms, any applicable contractual terms, or any applicable law have been breached, or where continued access may damage our systems, reputation, goodwill, or the rights or interests of others.
If we make any part of the site, platform or related services available free of charge, whether as a trial, beta, preview, demonstration, evaluation or otherwise, that access is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We may withdraw, suspend, limit or discontinue such free access at any time without notice. To the fullest extent permitted by law, we give no warranty, undertaking or guarantee in relation to any free-of-charge access and accept no liability for any loss, damage, cost, corruption, interruption, inaccuracy or unavailability arising from or connected with it.
Where a separate agreement applies to your account or use of any hosted services, platform tools, API access or trial access, that agreement will govern in priority to these Terms.
Prohibited uses
In addition to any other restrictions set out in these Terms or any applicable customer agreement, you must not use the site, any related content, or any non-subscribed or restricted-access features:
We reserve the right to suspend, restrict or terminate your use of the site or any related services for violating any of these prohibited uses.

Intellectual property rights
"Intellectual property rights" means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill, the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered.
This includes all applications and rights to apply for and be granted, rights to claim priority from such rights, and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist now or will subsist in the future.
Unless expressly stated otherwise, we are the owner or licensee of all intellectual property rights in the site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You may view, download and print material from the site for your own lawful internal business or personal reference only. You must not reproduce, copy, distribute, modify, republish, exploit or use any part of the content on the site for commercial purposes without obtaining a licence to do so from us or our licensors.
Reliance on information and no advice
The content on this site is provided for general information only and should not be relied on as legal, financial, investment or other professional advice. You should obtain appropriate professional or specialist advice before taking, or refraining from taking, any action on the basis of content made available through the site.
ERItax provides tax and tax-related data, calculations, reports and related tools, but neither the site nor any content, materials, downloads, calculations, reports or outputs made available through it constitute legal, tax, financial, investment or other professional advice, and nothing on the site is intended to create any adviser-client, fiduciary or equivalent professional relationship.
Certain data, materials, calculations, reports and outputs made available through the site or services may be derived, in whole or in part, from third-party materials, public sources, information supplied by users, customers or other third parties, together with automated or manual processing carried out by ERItax. ERItax does not audit, verify or independently validate all underlying third-party source materials, and cannot guarantee that such source materials, user-supplied information, or any content, data, calculations, reports or outputs derived from them will always be complete, accurate, current or free from errors or omissions. Although we use reasonable care and maintain rigorous quality standards in the collection, transcription, organisation, processing and presentation of data, we do not warrant or guarantee that all content, data, calculations, reports or outputs made available through the site or services will always be complete, accurate, current or free from errors or omissions, whether arising from third-party source materials, user inputs, systems, processing, interpretation, timing, or otherwise.
Users remain responsible for reviewing the relevance and accuracy of any outputs and for exercising their own judgment before relying on them. Responsibility for tax affairs, filings, disclosures, positions and decisions remains with the relevant taxpayer and/or their professional advisers.
To the extent permitted by law, ERItax shall not be responsible for any loss arising from reliance placed on general website content, guidance notes, articles, downloads or other free materials made available for informational or engagement purposes. Where access is provided to platform functionality, calculations or reports, such materials are provided subject to the applicable contractual terms, and remain subject to the limitations, qualifications and responsibility provisions set out in those terms.
General website content and free materials
Any articles, insights, commentary, technical notes, downloads, guides, summaries, explanatory content or similar materials made available on the public-facing areas of the site are provided free of charge for general information and engagement purposes only. Such materials do not constitute legal, tax, financial, investment or other professional advice, and should not be treated as a substitute for tailored advice based on your specific circumstances.
While we aim to ensure that such materials are useful and prepared with reasonable care, we make no representation, warranty or guarantee that they are suitable for your particular circumstances, or that they are complete, accurate or up to date at all times. To the extent permitted by law, your use of and reliance on such public-facing materials is entirely at your own risk.
Nothing in this section limits any liability which cannot lawfully be excluded or restricted under the law of England and Wales.
Free access, trials and beta features
We may from time to time make available free accounts, trial access, evaluation access, demonstrations, beta features, preview functionality or other services or materials without charge. Unless expressly stated otherwise in writing, any such access or functionality is provided on an "as is" and "as available" basis, for evaluation, informational or promotional purposes only.
To the fullest extent permitted by law, we make no representation, warranty, condition or guarantee in relation to any free, trial or beta access or functionality, including as to availability, continuity, fitness for a particular purpose, performance, accuracy, completeness or suitability. We may modify, suspend, withdraw or discontinue any such access or functionality at any time without notice.
To the extent permitted by law, we shall have no liability for any loss, damage, costs or expenses arising out of or in connection with any free, trial, beta or other no-charge access, functionality, materials or outputs, save that nothing in these terms excludes or limits any liability which cannot lawfully be excluded or limited.
Indemnification
You agree to indemnify and hold ERItax and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable legal fees, arising from any third-party allegation, claim, action, dispute or demand to the extent arising out of or connected with your unlawful use of the site, your breach of these Terms, your infringement of any intellectual property right or other third-party right, or any malicious activity carried out by you or through your account.
Severability
All rights and restrictions contained in these Terms may be exercised and shall apply only to the extent that they do not violate any applicable law and are intended to be limited to the extent necessary so that they will not render these Terms illegal, invalid or unenforceable.
If any provision or portion of any provision of these Terms is held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions shall remain in full force and effect.
Limitation of liability
Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.
To the fullest extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the site, any content on it, and any free-of-charge, trial, beta, preview, evaluation or demonstration access, whether express or implied.
To the fullest extent permitted by law, we will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with:
Nothing on this site is intended to create any duty of care or any contractual right in favour of any person except to the extent expressly set out in these Terms or in any separate written agreement.
Changes and amendments
We reserve the right to modify these Terms or any terms relating to the site at any time at our discretion by amending this page. When we do, we will revise the updated date at the top of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.
An updated version of these Terms will be effective immediately upon the posting of the revised version unless otherwise specified. Your continued use of the site after the effective date of the revised Terms (or such other act specified at that time) will constitute your acceptance of those changes.
Acceptance of these terms
You acknowledge that you have read these Terms and agree to them. By accessing and using the site you agree to be bound by them. If you do not agree to abide by these Terms, you are not authorised to access or use the site.
Governing law
These Terms, their subject matter and their formation are governed by the laws of England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction, save that if you are entitled under applicable law to bring proceedings elsewhere, nothing in this clause is intended to deprive you of that right.
